Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the SME Bridge website and matching service, operated by SME Bridge LTD ("we", "us", "our"), a company registered in England and Wales (Company No. 16945901). By using our website or services, you agree to these Terms. If you do not agree, please do not use our services.

2. Our role

SME Bridge is a curated matching service that introduces vetted freelancers ("Experts") to businesses ("Clients") looking to hire freelance talent. We are not an employer, staffing agency, or party to any contract formed between an Expert and a Client. Once introduced, the working relationship, project scope, deliverables and timelines are agreed directly between the Expert and the Client. We are not responsible for the quality, legality, or outcome of any work carried out between an Expert and a Client, though we take reasonable steps to vet Experts before they join our network, as described in our Privacy Policy.

3. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use our services. Experts must provide accurate information about their skills, experience and availability, and complete our vetting process, including a live video verification call, before being introduced to Clients.

4. Fees

Our current fees are published on our Pricing page and may be updated from time to time. Clients are charged a percentage fee per payment made through our service, and Experts are charged a percentage fee per payment received. Paid membership plans provide access to additional matching features but do not change the per-payment fee. Continued use of our services after a fee change constitutes acceptance of the new fees.

5. Payments

Payments between Clients and Experts are processed through our platform. Both parties are responsible for ensuring payment details are accurate and for meeting their own tax obligations arising from payments made or received through our service. We are not responsible for delays caused by third-party payment providers.

6. Cancellations and disputes

Project scope, timelines and cancellation terms are agreed directly between the Expert and the Client at the start of a project. If a dispute arises between an Expert and a Client, we encourage both parties to attempt to resolve it directly in the first instance. Where this is not possible, you may contact us at info@smebridge.co.uk and we will try to help facilitate a resolution, though we cannot guarantee a particular outcome and are not a party to the underlying contract between Expert and Client.

7. Intellectual property

Ownership of work delivered as part of a project is a matter to be agreed between the Expert and the Client, and should ideally be set out clearly before work begins. Unless otherwise agreed in writing between the parties, ownership of deliverables transfers to the Client upon full payment for the work. SME Bridge does not claim any ownership over work produced between Experts and Clients.

We reserve the right to suspend or terminate access to our services for any user who breaches these Terms.

9. Limitation of liability

To the fullest extent permitted by law, SME Bridge is not liable for any loss or damage arising from the acts or omissions of Experts or Clients, including but not limited to the quality of work delivered, missed deadlines, or non-payment. Our total liability to you in connection with our services is limited to the fees you have paid to us in the twelve months preceding the claim. Nothing in these Terms limits our liability for death or personal injury caused by negligence, or for fraud.

10. Termination

You may stop using our services at any time. We may suspend or terminate your access to our services if you breach these Terms, or if we reasonably believe your continued use poses a risk to other users or to SME Bridge.

11. Changes to these Terms

We may update these Terms from time to time. Continued use of our services after a change means you accept the updated Terms. If a change is significant, we will make reasonable efforts to notify users.

12. Governing law

These Terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
